The process

We keep this short because your time is the scarce resource, not our capital.

1. Introduction

One email is enough to open a conversation: the domain or product, roughly how long you have run it, and whether you are exploring or ready to transact.

We reply within one business day and tell you plainly whether the asset fits our mandate.

2. Mutual non-disclosure agreement

Signed before any information is exchanged. It binds both sides, covering your figures and the existence of the discussion itself.

We can work from your NDA or provide ours.

3. Information request

A single, defined list rather than a rolling stream of questions: twelve months of revenue by source, read-only analytics or usage data, hosting and platform costs, contracts and recurring obligations, and a note on anything unresolved.

Issues disclosed early are priced. Issues found late are discounted.

4. Indicative offer

A written, non-binding offer normally within 48 hours of receiving complete information. It sets out the headline price, the valuation basis and multiple applied, the payment structure and the intended timetable.

If the number is below your expectation, we explain the reasoning rather than withdraw quietly.

5. Heads of terms and exclusivity

Once the outline is agreed we document it in short heads of terms covering price, structure, conditions and the agreed transition terms.

Exclusivity is limited in time and only requested once we have committed to a price.

6. Due diligence

A focused review across three areas: commercial (revenue quality, traffic or usage, concentration risk), technical (codebase, infrastructure, dependencies, security) and legal (ownership of the domain, IP, contracts, data protection and any liabilities).

Typically one to two weeks. We use our own team and keep the request list finite.

7. Purchase agreement

A share or asset purchase agreement covering price, payment terms, warranties and indemnities, what transfers, and the agreed transition terms.

Payment is normally structured with the majority at completion and a portion held back or deferred against warranties. It is explained and it is negotiable.

8. Completion and transfer

Funds are held by a notary or escrow agent and released at completion. Domain, code, content, accounts, contracts and social profiles transfer under a written checklist.

We handle the technical migration.

9. Handover

An agreed transition period, usually 30 to 60 days, with a defined time commitment from you. Anything beyond it is paid.

From first contact to completion is typically four to six weeks.

What we do not do

  • We do not make an offer before we have seen the numbers.
  • We do not tie you up in an exclusivity period before we have committed to a price.
  • We do not ask you to keep working unpaid after the sale.
  • We do not flip, dismantle or repurpose the asset after purchase.
